What you can expect from us, and what we expect from you. Written for humans, governed by the laws of England and Wales.
The agreement
These Terms form a binding agreement between you and Yeema Holdings LTD (company number 15809333), a company registered in England and Wales at 128 City Road, London, EC1V 2NX, United Kingdom ("we", "us", "Rivo Tools").
They cover your access to and use of the Rivo Tools website, the tools available on it, and any related services. By signing in, paying, or otherwise using the service, you agree to these Terms and to our Privacy Notice.
If you don't agree, please don't use the service.
Eligibility and accounts
You must be at least 13 years old to use Rivo Tools, in line with Discord's minimum age. If the laws where you live require a higher age of consent for data processing, you must be at least that age.
You're responsible for what happens on your account, including keeping your Discord account secure. Tell us at tyrese@yeema.co if you think your account has been used without permission.
One human, one account. Don't create multiple accounts to evade limits or rate restrictions, and don't share your account with someone else.
Community membership and free tools
Rivo Tools is owned and operated by Rivo Labs, trading under Yeema Holdings LTD. Our free tools are funded by, and provided as a benefit to, the Rivo Discord community. That deal works like this:
- When you sign in with Discord, your account automatically joins the Rivo Discord server. This is stated on the sign-in page before you authorise.
- Free tools remain available while you are a member of that server. If you leave, access to free tools is paused (not banned) until you rejoin. Rejoining restores access immediately and can be done in one click from the site.
- Paid plans (Pro, Studio, Founder) do not require Discord membership.
Gaming this system is a breach of these Terms. That includes repeatedly leaving and rejoining the server, using multiple accounts to evade limits, or otherwise manipulating membership state to harvest free usage. Detection is partly automated; abuse may result in suspension of your account up to and including permanent termination of access to all Rivo Tools tools. If you believe an automated action was applied in error, contact us and we will review it.
What the service does
Rivo Tools is a set of browser-based tools for FiveM creators. You upload files or provide URLs, our pipeline processes them, and you download the result. Some tools are free. Others require a paid plan.
We are continuously shipping new tools, fixing bugs, and updating existing ones. Behaviour, output format, and pricing can change over time. Material changes that affect paying users will be communicated in advance where reasonably possible.
We are not affiliated with Cfx.re, FiveM, Rockstar Games, or Take-Two Interactive. Rivo Tools does not modify or interact with the FiveM client or game servers directly.
Plans and subscriptions
A paid plan buys you two things, and both are part of the price: access to the tools on that plan and a recurring allowance of credits that our AI tools spend. Credits are not a free bonus. They are a priced part of what you are buying, they are granted to your account automatically, and they count as digital content delivered to you the moment they are granted (see Credits and AI generation and Refunds and cancellation). Current plans are:
Always free. Free tools only, plus a one-time starter allowance of 60 AI credits that does not refill. No payment details required.
Recurring subscription. Unlocks the Pro tools and grants 650 credits automatically at the start of every 30-day credit cycle. Cancel any time from your billing page; access continues until the end of the paid period.
Recurring subscription with the highest usage limits. Grants 1,300 credits automatically at the start of every 30-day credit cycle. Cancel any time; access continues until the end of the paid period.
Lifetime access to all current and future Pro tools, plus 700 credits granted automatically at the start of every 30-day credit cycle. Limited availability. Delivered in full at purchase and non-refundable.
Yearly plans grant credits on the same 30-day cycle as monthly plans; you are simply billed once a year rather than every month.
Prices are stated exclusive of any applicable VAT or other sales tax, which will be added at checkout where required by law. We use Dodo Payments to process card transactions; their terms and privacy notice apply to that part of the flow. Plan allowances, limits, and credit grants may change over time; material changes affecting paying users will be communicated in advance where reasonably possible.
Refunds and cancellation
The short version. All sales are final. We do not give refunds for a change of mind, for a plan you stopped using, for a renewal you forgot to cancel, or for credits you did not spend. The one exception is a tool that does not work as intended, and even then a refund is granted only after we have reviewed and approved the request. Cancelling your subscription is free, instant, and always available from your billing page.
Why the service is sold as final. A paid plan is digital content delivered immediately. The moment your payment clears, your tools unlock and your full credit allowance is deposited in your account automatically. There is no waiting period, no activation step, and nothing for you to claim. At checkout you ask us for that immediate delivery and acknowledge that you lose any statutory right to cancel once it has been delivered. It is delivered within seconds of payment, which is why there is no cooling-off window to fall back on afterwards.
The one exception, and how to use it. If a tool you paid for does not work as intended and we cannot fix it within a reasonable period, email us at tyrese@yeema.co from the address on the account, describing the tool, the job, and what went wrong. We will investigate against our job logs. If we approve the request we will make it right, which may mean a fix, returned credits, a partial refund, or a full refund, at our discretion. Approval is required. Submitting a request is not itself a refund.
What does not qualify as a fault. To be clear before you buy, none of the following is a defect and none of it creates a refund entitlement:
- An AI result whose subjective appearance is not what you hoped for. AI output is not deterministic and a technically successful generation is a delivered generation.
- A change to plans, limits, credit prices, or tool behaviour that you did not notice. We ship constantly. Current plan contents are always on the pricing page and material changes go in the changelog.
- Buying a plan and then not using it, or using less of it than you expected.
- A tool working correctly but not in the way you assumed it would, or not fitting your particular server or workflow.
- Losing access because your account was suspended or terminated for breaching these Terms.
Cancellation. Pro and Studio cancel any time from your billing page. You keep access until the end of the period you have already paid for, then the account drops back to Free. There are no partial refunds for unused time, and no refunds for a renewal that has already been charged. Cancel before the renewal date to avoid the next charge. Founder is a one-time purchase and there is nothing to cancel.
Credits. Credits are part of the price of your plan, not a separate purchase. They are granted automatically, they have no cash value, and they are non-refundable and non-transferable. Cancelling or downgrading never converts credits into money, and unspent credits are never refunded. Credits reserved by a job that fails are returned to your wallet automatically, which is a system behaviour rather than a refund.
Nothing in this section removes a statutory right that cannot be removed under the law of the country where you live.
Credits and AI generation
Some tools (for example AI Livery Creator and Prop Creator) create assets using AI and consume credits. Read this section before you buy, because credits are the part of the service people most often misunderstand.
Credits are given to you automatically, and they count towards what you paid. You do not have to claim them, redeem a code, or ask support for them. The moment a plan starts, and again at the start of every 30-day credit cycle after that, your allowance is deposited in your wallet. Because the grant is a priced component of the plan rather than a giveaway, credits count as digital content delivered to you the moment they are granted. That delivery is part of why a paid plan is sold as final: see Refunds and cancellation.
What you get. Free gets a one-time starter grant of 60 credits that does not refill. Pro gets 650 credits per cycle, Studio 1,300, and Founder 700, granted automatically. Credits cannot be bought separately and no plan is sold as credits alone.
- Credits have no cash value, are non-refundable, and are non-transferable between accounts. You cannot sell, gift, or move them.
- Your grant refreshes at the start of each 30-day credit cycle. Unused credits roll over only up to a cap of twice your grant; anything above the cap is not carried forward and is not compensated.
- Credits are reserved when a generation starts and charged when it succeeds. If a generation fails or you cancel it before it completes, the reserved credits are automatically returned to your balance. You are never charged for a job that did not produce a result.
- Prices are per generation and shown in the tool before you confirm. AI Livery Creator costs 20 credits at Standard and 80 at HD on the premium model, halved on the faster model. Prop Creator Draft costs 50 credits, Final costs 600, and an AI source image costs 40. These prices can change as provider costs change.
- A technically successful result is charged even where its subjective appearance is not what you hoped for. AI output is not deterministic and disliking a result is not a fault. Staff may issue an exceptional goodwill credit refund at their discretion; that is a courtesy, not an entitlement.
- Upgrading grants the difference between the two allowances straight away, so the new credits are usable immediately. Downgrading keeps the balance you already hold and moves you to the smaller grant from the next cycle.
- When a plan ends, unspent credits stay in your wallet but the tools that spend them are locked behind the plan. Ending a plan does not convert credits into money or extend access.
To generate an AI asset, the tool sends your prompt or source file you provide (such as a vehicle UV map) to third-party AI providers that run the underlying models. By using these tools you agree that this content may be processed by those providers and you must not submit prompts or files that you do not have the rights to use, or that infringe a third party's intellectual property (for example real company logos or trademarks) or that breach the providers' usage policies.
AI output is generated automatically and provided on a best-effort basis. We do not guarantee that an output will be accurate, original, free of artefacts, fit for any particular purpose, or unique to you, and similar prompts may produce similar results for different users. You are responsible for reviewing any output before you use it, and for ensuring your use of it complies with the law and with the rights of others. See also Your content.
Chargebacks and payment disputes
If something has gone wrong with a payment, talk to us first at tyrese@yeema.co. We answer every ticket and we would rather fix a real problem than argue through a bank. This section explains, up front, exactly what happens if you raise a chargeback or payment dispute instead.
- Access is suspended. Opening a dispute on a payment to us suspends your access to all Rivo Tools tools, paid and free, while the dispute is open. If the dispute is decided against us, or is withdrawn without the balance being settled, that suspension becomes permanent and covers any future account you create.
- We defend it. Where our records show the service was delivered, we will respond to your bank or payment provider with evidence. That evidence normally includes your acceptance of these Terms at checkout, the activation of your plan, your account and subscription history, your job history, the outputs generated and retained on your account, your credit grants and spend ledger, the audit log of changes to your account, and our support conversation with you.
- Restoring access. If a dispute is resolved in our favour, or you repay the disputed amount together with any fee the payment provider charged us, we may restore your account at our discretion.
- A dispute is not a refund request. Filing one does not create a refund entitlement, does not bypass the approval process in Refunds and cancellation, and it does not entitle you to keep using the service in the meantime.
None of this applies to genuine fraud. If your card was used without your permission, tell us and we will refund it and help you close the account.
Acceptable use
You may not, and may not help anyone else:
- Use Rivo Tools to process content you do not have the rights to use, including ripped paid mods, stolen liveries, or other IP-infringing material.
- Upload malware, exploits, or files crafted to abuse or destabilise our pipeline.
- Attempt to break, scrape, reverse-engineer, or probe our infrastructure, accounts, or rate limits.
- Resell, sublicense, white-label, or otherwise commercialise the service or its outputs in a way that competes with Rivo Tools.
- Use the service to harass, defame, or unlawfully discriminate against others.
- Use the service in violation of any applicable law, including export controls or sanctions.
- Abuse our free-tier systems, including leave/rejoin cycling of our Discord server, multi-accounting to evade quotas, or automating requests against our tools (see Community membership).
Output files you generate using Rivo Tools are yours to use in your own FiveM servers or projects, subject to the rights of upstream creators and any underlying game / engine licences (Cfx.re, Rockstar, etc.).
We may suspend or terminate accounts that breach these rules, and we may remove or refuse to process specific content.
Your content
You keep all rights in the files you upload and the outputs we generate from them. We don't claim ownership of your mods, models, maps, or any other content you push through the pipeline.
By uploading content, you grant us a limited, worldwide, royalty-free licence to host, process, and transmit it solely for the purpose of running the requested tool and delivering the result to you. This licence ends when the content is deleted on the schedule set out in our Privacy Notice.
You confirm that you have the rights to the content you upload, and that uploading it does not breach any third party's rights.
Our intellectual property
The Rivo Tools brand, the website design, the source code, the documentation, and the underlying tools belong to Yeema Holdings LTD or our licensors. Nothing in these Terms grants you any right to our trademarks or branding beyond the right to access and use the service as described.
Open-source components used in Rivo Tools remain governed by their own licences.
Third-party trademarks
FiveM, Cfx.re, Rockstar Games, Grand Theft Auto, and Take-Two Interactive are trademarks of their respective owners. We use those names only to describe what Rivo Tools is compatible with. We have no affiliation with, sponsorship from, or endorsement by any of them.
Availability and changes
We aim to keep the service available and working, but we make no uptime guarantee. We may take the service down for maintenance, security incidents, or because a third party we depend on is down. We will try to give notice for planned maintenance.
We may add, change, or remove tools or features. Where a change materially reduces the value of a paid plan, you can cancel and request a pro-rata refund.
Disclaimers
To the maximum extent permitted by law, Rivo Tools is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that outputs will be free of errors, suitable for any specific server, or compatible with future versions of FiveM, GTA V, or related software. Always back up the files you care about before running them through any tool.
Nothing in these Terms excludes or limits your non-waivable statutory rights as a consumer.
Limitation of liability
Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot be limited or excluded by law.
Subject to the above, to the maximum extent permitted by law, our total aggregate liability to you arising out of or related to these Terms or the service, whether in contract, tort, or otherwise, will not exceed the greater of (a) the total amount you have paid us for the service in the 12 months before the event giving rise to the claim, or (b) £100.
We will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.
Indemnity
You agree to indemnify and hold harmless Yeema Holdings LTD, its directors, employees, and contractors from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) content you upload or generate using the service, (b) your breach of these Terms, or (c) your violation of any applicable law or third-party right.
Termination
You can stop using Rivo Tools at any time. To delete your account, email tyrese@yeema.co from the address on the account or use the in-product option if available.
We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if we discontinue the service. Where reasonable, we will give you notice and time to fix the issue first.
Sections of these Terms that by their nature should survive termination (for example Disclaimers, Limitation of liability, Indemnity, Governing law) will survive.
Governing law and disputes
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction over any dispute. If you are a consumer resident in another part of the UK, or in the EU, you may also bring proceedings in the courts of the country where you live, and the mandatory consumer protection laws of that country will still apply.
Changes to these Terms
We may update these Terms when the service evolves or the law changes. The date at the top reflects the most recent version. We will announce material changes in our changelog and, where appropriate, by email. Continuing to use the service after a change means you accept the updated Terms.
